TLC Governance:
Real Governance. Real Impact

Our work spans financial services, international groups, subsidiaries, regulated environments and organisations navigating complex transitions.  Each case study shows how Governance Forensics and practical capability-building create clarity, confidence and stronger decision-making.

Case Study: From Information Overload to Strategic Insight

How one financial services board cut through 500 pages of noise and reclaimed its ability to govern the future.

The Challenge: A highly regulated financial services client approached us because their directors were “lost in the weeds”.  Board packs regularly exceeded 500 pages, leaving meetings entirely retrospective and preventing meaningful strategic debate.

The Approach: We conducted a deep Governance Forensics review of reporting lines, information flow and accountability.  We redesigned the board pack structure, sharpened delegated responsibilities and removed unnecessary duplication.

The Outcome: Pack volume reduced significantly while the quality of insight increased.  The board shifted from reporting on the past to governing for the future, enabling clearer debate, stronger oversight and more confident decision-making.

Case Study: Balancing Parent Oversight with Subsidiary Autonomy

Governance Across Borders: One Size Does Not Fit All

The Challenge: A national organisation operating across Africa faced a common friction point:

  • The parent company felt oversight was too weak
  • Subsidiary directors felt the framework was too restrictive to legally discharge their duties

The Approach: We redesigned the governance framework from the ground up.  This included clear delegated authorities, empowered accountability for subsidiary directors, and a Golden Thread of reporting lines that gave the parent company the visibility it needed.

The Outcome: Subsidiaries gained the autonomy to lead effectively, while the parent gained reliable oversight and peace of mind.  The organisation now operates with aligned governance expectations across all jurisdictions.

Case Study: The Sole Director Trap

When Your Articles Quietly Undermine Your Authority

The Challenge: The sole-ownership company discovered a legal tension between Model Article 7 (allowing a sole director to act) and Model Article 11 (requiring a quorum of two).  This meant key decisions, contracts, funding discussions, administrative actions – risked being legally void.

The Approach: We updated the Articles of Association and built a governance framework that explicitly empowered the sole director, ensuring decisions were valid, defensible and future-proofed.

The Outcome: The company now operates under a constitution that reflects commercial reality, protects the director’s authority and removes legal risk during sale, investment or restructuring.

Case Study: Strategic Transition in Nigeria

Separating State Influence From Commercial Governance

The Challenge: A Nigerian organisation transitioning from state-influenced operations to commercial governance needed to redefine board responsibilities, liabilities and decision-making boundaries.

The Approach: Through intensive board development and governance redesign, we clarified director liabilities, strengthened accountability and established clear separation between state policy and corporate strategy.

The Outcome: The board now operates as a high-performing commercial leadership team with clear boundaries, stronger oversight and a shared understanding of their governance responsibilities.
